Terms of Use

1. Acceptance & Agreement

These Terms of Use ("Terms") constitute a binding agreement between you ("you", "your", "User") and CW Frontier Innovations LLC ("we", "us", "our") regarding your access to and use of Rite HQ (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

2. Definitions

• User / Account: You or an authorized user under your organization.
• Organization / Tenant: The account under which you and your team operate.
• User Content: Any data or content you input into the Service (e.g. branding, organizational data, report data).
• Site / Platform: The web-based interface and backend systems that deliver Rite HQ.

3. Use of the Service; License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

We reserve all rights not expressly granted herein. You may not reverse engineer, decompile, or otherwise attempt to derive the source code of Rite HQ (unless applicable law prohibits such restriction).

4. Account Registration & Credentials

To use the Service, you may need to register an account (user name, email, password, etc.).

• You are responsible for maintaining the confidentiality of your credentials.
• You may not share your account credentials except within your authorized organization users.
• You are responsible for all activity on your account, except for actions taken by us.

5. User Content, Ownership & License

Ownership: You retain all rights, title, and interest in and to your User Content.

License to Us: You grant us a worldwide, royalty-free, non-exclusive license to use, store, process, display, and transmit your User Content (only as necessary to deliver and operate the Service).

Analytics / Model Use: If in the future you permit us to use anonymized / aggregated data (or derivatives) for analytics, reporting, or model improvement, that will be subject to a separate disclosure or opt-in.

You represent and warrant that you have all rights necessary to provide and submit your User Content and that this does not violate any third-party rights or applicable law.

6. Prohibited Conduct

You may not use the Service to:

• Violate laws, regulations, or third-party rights
• Upload or share malicious code, viruses, or harmful software
• Impersonate others or misrepresent your identity
• Use the Service for spamming, unsolicited marketing, or phishing
• Reverse-engineer or probe security or vulnerabilities
• Use the Service in a way that interferes with or impairs the Service or other users
• Use the Service to store or transmit sensitive personal data outside the intended scope

We reserve the right to suspend or terminate any account that engages in prohibited conduct.

7. Payment / Subscription Terms (Future)

Currently the Service is free. We may introduce paid tiers, subscriptions, or upgrade features.

If / when we do so, you will be billed based on the chosen plan. All fees are non-refundable unless otherwise stated.

We may change pricing, features, or terms, with reasonable notice to users.

8. Disclaimers & Warranties

The Service is provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by law:

• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or availability.
• We do not guarantee the Service will be uninterrupted, error-free, or secure.
• We are not responsible for deficiencies due to third-party services or network outages.

9. Limitation of Liability

To the maximum extent permitted by law:

• In no event shall we be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, even if advised of the possibility of such damages.
• The foregoing limitation does not apply to liability arising from gross negligence, willful misconduct, or statutory obligations that cannot be disclaimed under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless CW Frontier Innovations LLC, its officers, employees, agents, and affiliates, from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content or any claims it infringes third-party rights

11. Termination & Suspension

We may suspend or terminate your access (or your organization's access) at any time, with or without cause, subject to notice.

Upon termination, your rights to use the Service immediately cease, and we may delete your User Content and account data (subject to any retention obligations).

Sections regarding disclaimers, limitation of liability, indemnification, and proprietary rights survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Tennessee (without regard to conflict of law rules). Any dispute arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Tennessee, and you consent to personal jurisdiction and venue there.

You may also consider including arbitration or class action waiver clauses (if desired), though those warrant careful drafting based on your risk tolerance and jurisdiction.

13. Modifications to Terms

We may change these Terms from time to time. We will provide notice (e.g. via email to organization owners or in-app). Continued use after notice constitutes acceptance of the modified Terms.

14. Miscellaneous

• Severability: If any provision is held invalid or unenforceable, the remainder shall remain in full force.
• Assignment: You may not assign these Terms or your account without our consent. We may assign or transfer in connection with business transactions.
• Notices: Official notices from us may be sent via email, in-app notice, or posted on our website.
• Entire Agreement: These Terms (and any policies referenced herein) constitute the entire agreement between you and us regarding Rite HQ.
